Because the people who own it don't want it anymore. There are a lot of things going on here that ought to be regulated against, but letting people sell off possessions they no longer want, generally, probably should remain legal.
I feel like there are probably legal issues with defining a multinational mass media and entertainment conglomerate as a possession akin to owning a car or something.

On top of that Jarrod Kushner, trump's son in law, is involved in it as well, promising to make massive changes to CNN if their bid is successful.

Continuing the trend of this being the worst timeline, Netflix has dropped its bid for WB. Not for any reason like avoiding monopolies or anything. No, this is because they're conceding the bid to Skydance, which is now free to take over all of WB, barring regulatory roadblocks. Of course, approval will obviously be bought from the Trump administration.

And just to add more context, Skydance INCREASED their offer at least two if not three times since WBD agreed to the Netflix deal. They waged a war of attrition that Netflix was unable, or unwilling, to partake in. Further, the Skydance deal is structurally simpler, it’s a whole entity purchase. Netflix, meanwhile, was only interested in the film/TV assets, necessitating a complex “break up” of the WBD entity to complete the purchase.
While I think shareholders stood to gain more, long term, in the Netflix deal, the immediate money spoke louder.

In another era, there would likely be some sort of legal scrutiny over this, but with the Ellison’s money and “amicable” relationship with the current administration, I don’t see there being significant hold ups to this acquisition.

At some point you have to wonder how this one company keeps bouncing around from one owner to another like a white elephant while the rest of the entertainment industry weathers flop after flop and keeps on ticking. If I believed it was cursed (like Commodore), I'd say let Ellison grab the hot potato and see how it feels to get burned for a change.
